WHY? WHEN? WHERE? HOW?


MAGIC # NEEDED? 125 members and assigned proxies in 'good standing'.


PURPOSE OF TWO ITEMS TO VOTE VIA BALLOT.

1). BYLAW 19.2 CHANGE (Full view in your mailed notice).

To allow voting on bylaw changes/alterations by a member majority present in person or by proxy at the annual meeting, a special meeting called and listed as a purpose of such meeting. *May also be amended/altered by ballot vote; either by mail or other approved electronic means or at a special meeting of the members listing such changes/alterations as one of the purposes of such special meeting.



*This amendment will allow those who do not live in the area, are ill or caring for an ill person, must be at the place of their employment an opportunity to vote on important issues. Further, if you assigned a proxy, are beyond the five allowed the assignee or simply hate the lengthy, drawn out meetings you can still have a voice in the outcome of important decisions effecting, among other things, your dues and the violation/fine structure that needs be decided.


2). Limiting and re-distribution of liability of the corporation/membership. With guidance from John Itell, a partner in our accounting firm we are seeking to form a new subsidiary that will be entirely for our employees. This will be a limited liability corporation. Such subsidiary can offer our corporation/membership more protection from possible lawsuits and claims. This could reduce our premiums, substantially. We will be availed professional help with our employee handbook, a new return to work program, advice on problematic issues that deal with WV employment laws plus additional legal support through a benefit provided through by the agency being considered.

Subject: Call for River Bend Membership Corporation Special Meeting


A call for a Special Meeting prior to the Meet the Candidate is called for Saturday, May 21, 2016 at 10:00 am to close promptly by 10:45 am, in lower level Ranger Station. The purposes of this meeting are as follows;


By-law changes.

Section 19.2 – Amendments. These bylaws may be amended or altered by a majority of the members entitled to vote present in person or by proxy at the annual meeting of the members. They may also be amended or altered at special meetings of members, but the notice of any such special meeting shall state the proposed amendment or alteration with a general statement of the nature of the proposed changes therein. At any such special meeting the members attending shall have no power to amend or alter any sections other than those sections so specified they shall have full power to amend the entire section and shall not be restricted to the proposed changes set forth in such notice.


Amend to read:

This will be a ballot vote. We must have 125 registered members on May 21, 2016. To make it easy for any members who have other commitments, the following procedure will be available.


  1. Register
  2. Receive your ballots and any proxies you may have
  3. Opening of meeting, cast your ballot
  4. You may leave for any other business once you have cast your ballot and a quorum is met



This special meeting is to address the above mentioned item’s ONLY and no other business/ item’s shall be discussed or voted on! Effective as of the date of this call letter the books shall be closed!

VERY important meeting (CLICK and check it out). In a nutshell. Just didn’t have a quorum. Not even close, 42 members short. But hey, West Virginia Code 31E has the RIGHT idea. DON'T be surprised if the next proxy you receive and assign to somebody will be good for the rest of this year.
